From time to time, I intend to take a look at businesses for sale. We?ll examine them from two perspectives ? how attractive the business is at the asking price and what lessons the business may hold for the owners of other businesses.
The first business I want to look at is a heating, ventilation and air conditioning business in the southeastern United States. For obvious reasons, we cannot identify the specific business or owner. This listing was brought to my attention by the brokerage site, Bizbuysell.com. (Editor?s note: The author has no current or potential financial stake in the sale of this business, nor does the author certify the accuracy of financial or other information provided by the seller and/or seller?s broker.)
Normally construction companies are among the hardest businesses to sell. Buyers often look at them and pass. Why? If the buyer is a competing business, it will often think, ?Let them go out of business, and I?ll just take them over for free.? If it?s a financial buyer ? from outside the area or from a different industry ? the lack of recurring cash flow may be the stumbling block.
The seller of this particular business is being represented by a broker, Jim Dunmire, of the Murphy Business and Financial Corporation. Mr. Dunmire specializes in selling H.V.A.C. businesses, a subset of the construction industry that tends to be somewhat easier to sell than other construction businesses. Below is the basic listing information:
Type of Business: H.V.A.C.
Location: Southeastern United States.
Asking Price: $6.250 million, for the business and real estate.
Employees: 26 full-time, two part-time.
Furniture, Fixtures and Assets: $280,000.
Real Estate: 12,900 square feet, estimated value $800,000.

Business Overview
The company has been in business for 14 years. Its founder is the owner and chief executive of the company, which services only homeowners. It does no commercial work and no new home construction work, which is unusual in the industry.
As a rule, the company says it does not bid for work. All of its projects have been negotiated with the customer, and the company policy is to not reduce prices to meet competition. In addition, the company takes only jobs that fall within a radius of 20 minutes from the company offices. There is a marketing plan in place that has been producing new business in a predictable manner.
The company trains all new employees in a training center at the main office. New employees aren?t allowed into the field until they have been fully trained in the operations and service skills the owner believes they need.
My Take on This Company
According to Mr. Dunmire, this is a company that has strong profits that are more than three times the industry average (it is 10 times more profitable than the average H.V.A.C. company, according to Robert Morris Associates, a database that analyzes company profitability). If I were a potential a buyer, I would be eager to look under the hood and find out how the company has produced those results.
The company appears to have a strong niche. The owner has learned how to say no to business that doesn?t fit his niche and only accepts jobs that work for his business model. As a result, it seems the company has become very efficient at serving these customers.
In addition, the company has eliminated two significant forms of waste that are common to the industry. By staying within a 20-minute radius, the company avoids having its personnel waste time driving around. And by training its employees at its facility, and not in the field, the company allows trainers to focus on getting a new person acclimated ? and not on getting a job done.
Challenges in This Deal
Mr. Dunmire told me the asking price for this business is 3.2 times its free cash flow. This is about a third higher than most companies in the industry ask.
In addition, it is likely that there is little chance for growth in the niche this company occupies. This means a buyer looking to grow would have to either expand lines within the footprint ? which I would not recommend ? or find a way to clone the business in other geographic areas.
It?s likely the owner has developed excellent systems and documentation for the results the company produces. During due diligence, it will be important to learn precisely how the profits are produced.
A first glance, this business looks like a great opportunity for a strategic buyer, such as a competitor. That said, some strategic buyers may be skeptical of the results ? regardless of the documentation provided. For that reason, a financial buyer may be more likely to buy this high-margin business.
My Suggestions to a Buyer
Any buyer of this company should hold off on making any changes in operations, marketing or training until it has spent a significant amount of time understanding the secret sauce that has made it successful. But a buyer looking for growth should come with a plan to duplicate the operation in other areas. Abbas's U.N. victory was a diplomatic setback for the United States and Israel, which were joined by only seven other countries in voting against upgrading the Palestinians' observer status to "non-member state", like the Vatican, from "entity".
Hours after the U.N. vote, Israel said it would authorize 3,000 new settler homes in the West Bank and East Jerusalem and expedite planning work for thousands more in a geographically sensitive area close to Jerusalem. Critics say this plan would kill off Palestinian hopes of a viable state.
Netanyahu's current religious-nationalist government looks likely to be replaced with a coalition more accommodating of the Palestinians. The runners-up in the January 22 ballot, the centrist Yesh Atid and left-leaning Labour parties, both demand Israel try to revive peacemaking stalled for more than two years.

LOS ANGELES (TheWrap.com) - "Casino Royale" director Martin Campbell is taking on another intrigue-filled project, this time with ABC.
The network has ordered a pilot for the drama "Reckless," which Campbell, left, will executive produce.
The pilot involves David, a resourceful problem-solver whose wife is unjustly imprisoned during a political uprising overseas. Desperately to rescue her, he tries every legal option, but after being stymied by the U.S. government in the name of diplomacy, David moves outside of the law -- and enters "a world of political intrigue, dangerous alliances and high emotional stakes."
Chris Black ("Star Trek: Enterprise") is writing the ABC Studios project.
ABC has also ordered a pilot for the dramedy "Murder in Manhattan." Written by Maria Maggenti ("Monte Carlo"), the hour-long project follows a mother and daughter who team up as amateur sleuths in New York City.
ABC Studios and DarkFire TV are producing.

Jan. 28, 2013 ? After experiencing years of population decline on the West Coast, a recent study examining fisher populations found that -- at least in the southern Sierra Nevada -- the animal's numbers appear to be stable.
Scientists from the U.S. Forest Service's Pacific Southwest Research Station (PSW) and the Pacific Southwest Region collaborated to monitor the distribution of fishers across a 7,606-square-mile area in the southern Sierra Nevada. They used baited track-plate stations -- an enclosure where the fisher leaves a sooted track print as it walks through -- at 223 locations across three national forests. Over an eight-year period, from 2002-2009, they found that the fisher population in the southern Sierra Nevada neither increased nor decreased.
The findings are relatively good news for the cat-sized relative of the weasel family. The forest-dwelling fisher (Martes pennanti) once lived throughout most of the mountains in northern California and the Sierra Nevada, and in the Rocky Mountains, Cascades and Coast ranges. But many populations were eliminated or declined due to commercial trapping and clear-cut timber harvesting. Fishers have been reintroduced at a few locations in the western U.S., but only two native populations -- both centered in California -- remain. The small population of fishers in the southern Sierra has been estimated, by other methods, to be approximately 250 individuals.
"This study is encouraging in that it demonstrates that we can monitor a fisher population over a large area, with simple methods," said Bill Zielinski, a PSW research ecologist who coordinated the analysis of the research data. "It is also encouraging that we did not discover a decreasing trend in the population, but eight years is a relatively short period."
Zielinski noted that given the short time period of this study, the effects of Forest Service management actions to protect fishers and their habitat cannot yet be fully assessed. Further study, over a longer time period is necessary to fully understand the efficacy of these conservation measures. Other factors unrelated to habitat, including road kill and the illegal use of rodenticides which poison the fishers, must also be considered when evaluating the population.
"We hope that we can continue to monitor the fisher, so that we can witness an increase in the population as public and private groups collaborate to institute measures to protect them from various threats," he said.
PSW statistician James Baldwin, along with collaborators Richard Truex, Jody Tucker and Patricia Flebbe from the Pacific Southwest Region, contributed to the study.

Kimberly McCarthy is scheduled to be executed by lethal injection on Tuesday for the stabbing murder of her neighbor in 1997.

HUNTSVILLE, Texas -- A Texas woman convicted of the gruesome slaying and robbery of her neighbor, a retired 71-year-old college psychology professor, is set to be the first woman put to death in the United States since 2010.
A Dallas County jury already found former nursing home therapist Kimberly McCarthy guilty of the 1997 killing when evidence at the punishment phase of her trial tied her to two similar murders a decade earlier.
"Once the jury heard about those other two, we were certainly in a deep hole," recalled McCarthy's lead trial attorney, Doug Parks. Jurors decided McCarthy should die.
Her execution, set for Tuesday evening, would be the first since a Virginia inmate, Teresa Lewis, became the 12th woman put to death since the U.S. Supreme Court in 1976 allowed capital punishment to resume. In that same time, 1,309 men have been executed.
The 51-year-old McCarthy also would be the first woman executed in Texas in more than eight years and the fourth overall in the state, which executes the most people in the nation ? 492 prisoners since capital punishment resumed 30 years ago.
McCarthy, who is black, was condemned for the July 1997 killing of neighbor Dorothy Booth in Lancaster, about 15 miles south of Dallas. All but one of McCarthy's jurors were white.
On Friday, her attorneys asked Dallas County District Attorney Craig Watkins to delay the lethal injection, citing his interest in Texas adopting a law to allow death-row prisoners to base appeals on race. Watkins has not responded.
"It certainly doesn't make me happy," Parks said. "It's a fact of life. ... The reality is, with some exceptions, they're going to execute your client."
Ring cut from living victim
Evidence showed McCarthy, who has exhausted her court appeals, phoned Booth to borrow a cup of sugar, then attacked Booth
when she went to retrieve it. Booth was stabbed with a butcher knife, beaten with a large candle holder and robbed of a diamond wedding ring.
"(McCarthy) quite literally took the woman, put her left hand on a chopping block of the kitchen and then used a knife to sever her ring finger while she was still alive," said Greg Davis, the former Dallas County assistant district attorney who prosecuted McCarthy. "She took the ring from the finger that had been severed and continued the attack until she finally killed her."
Prosecutors showed McCarthy stole Booth's Mercedes and drove to Dallas, pawned the ring for $200 and then went to a crack house to buy some cocaine. Evidence also showed she used Booth's credit cards at a liquor store and was carrying Booth's driver's license.
Booth's DNA was found on a 10-inch butcher knife recovered from McCarthy's home. McCarthy was arrested after police found her name on a pawn shop receipt for the ring.
McCarthy was tried twice for Booth's slaying, most recently in 2002. Her first conviction in 1998 was thrown out three years later by the Texas Court of Criminal Appeals, which ruled police violated her rights by using a statement she made to them after asking for a lawyer.
Prosecutors presented DNA and fingerprint evidence that tied McCarthy to similar slayings of two other women in Dallas in December 1988. Maggie Harding, 81, was beaten with a meat tenderizer and stabbed.
Jettie Lucas, 85, was beaten with both sides of a claw hammer and stabbed. McCarthy was indicted but not tried for those slayings. She denied any involvement.
?When the jury saw the other two were equally gruesome, I think it sealed the deal for her," Davis said.
McCarthy is a former wife of Aaron Michaels, founder of the New Black Panther Party, and he testified on her behalf. They had separated before Booth's slaying.
McCarthy declined to speak with reporters as her execution date neared. She's one of 10 women on death row in Texas but the only one with an execution date.
In 1998, Karla Faye Tucker, 38, became the first woman executed in Texas since the Civil War for a robbery in Houston where two people were killed with a pickax.

One of the worst nightclub fires in history has claimed a terrible toll in the southern Brazil city of Santa Maria, with at least 233 dead by the most recent count.

For survivors of a 2003 Rhode Island nightclub fire that was one of the deadliest in U.S. history, the fire in Brazil that killed hundreds Sunday is the latest in a series of reminders that no matter how far away, those who ignore the lessons of their tragedy can pay a horrible cost.
On a cold night in February 2003, the rock band Great White took the stage at The Station nightclub in West Warwick, R.I. During the show, pyrotechnics set fire to flammable soundproofing foam that lined the walls and ceiling, killing 100 and injuring 200.
Over the decade since, survivors have come together time and again over news of similar disastrous fires overseas.
"We're very tight," said Todd King, one of the survivors. "You can't put into words what we saw."
He said he was woken up Sunday morning by a storm of text messages from others who survived the Rhode Island fire, asking, "Can you believe this is happening again?"
"I'm surprised nobody has learned," he said.
Another Rhode Island survivor, Victoria Eagan, said she and others noted that each of three earlier fires was caused by indoor pyrotechnics igniting with material in the building. Investigators have just begun their work in Brazil, but witnesses said a flare or firework lit by band members may have started the fire.
"I had the same reaction as the other three times," Eagan said Sunday. "We're doomed to repeat history and I wish they could learn."
In the year after the Rhode Island fire, a flare ignited ceiling foam at an overcrowded nightclub in Buenos Aires, Argentina, killing 194 people.
Indoor fireworks were blamed for a fire at a club in Bangkok on New Year's Eve 2008 in which 66 partygoers were killed.
And another indoor fireworks display at a nightclub in Perm, Russia, ignited a plastic ceiling decorated with branches, killing 152 people in December 2009.
In Rhode Island, the Station fire brought about sweeping changes to the state's fire code with one intent: Never again.
Sprinklers are now required in nightclubs and bars with occupancy limits of 100 or more, nightclub workers must be trained in fire safety and more money was set aside for fire safety classes in schools.
Rhode Island also banned pyrotechnics in all but its largest public venues and local fire marshals were enabled to order immediate repairs and write tickets for violations.
Eagan said the changes were necessary in Rhode Island.
"I wish it would spread to other countries," she said.
A deadly blaze overseas does not seem so distant because of the Rhode Island tragedy, Eagan said.
"It's a tragedy that hits close to home," she said. "It's maddening to see it happen again."
In an emailed statement, the Station Fire Memorial Foundation, which is building a memorial to those affected by the 2003 fire, compared the two fires.
"One cannot help but notice the similarities between this tragedy and the Station nightclub fire that occurred nearly 10 years ago," the group said.

Schnepp, who's also worked on the Adult Swim cartoon Metalocalypse and directed the W is for WTF segment of The ABCs of Death, has launched a Kickstarter campaign to raise $98,000 to shoot a documentary he's calling The Death of "Superman Lives": What Happened? ?Back in the late 1990s,?Peter Guber and Jon Peters the producers behind Warner Bros. first Batman features, Batman and Batman Returns, came close to shooting Superman Lives, ?a movie based on the 1992 DC Comics storyline, The Death of Superman. The movie never happened and, apparently, the moviegoers and comics geeks were robbed of the cinematic equivalent of a Velveeta-filled hot-tub romp.
Schnepp, who's been collecting production art and gathering string on this unmaking-of story for a while now, claims on his Kickstarter pitch page that had the project been made, it "would have stood the test of time and become a bonafide Cult Classic." Certainly, it had an enthusiastic star in Cage, whose Superman love was such that, in 2005, he gave his newborn son Superman's Kryptonian handle, Kal-El, for a name. (God, I hope it's been shortened to just Kal, by now.)
Here's Schnepp's rationale for making the documentary:
I?ve been interested in this film since it was first announced back in the late 90?s. Nicolas Cage was announced as Superman, Kevin Smith was announced as the Writer, Tim Burton was announced as the Director, and fans have had very heavy opinions, both positive and negative, on all of this. As news slowly bubbled out, news buzzed around about Rainbow Robot Outfits, Brainiac Skull ships, Superman not "flying", Fighting a Giant Spider, Polar Bears guarding the Fortress of Solitude. It all sounded so crazy, so weird, so different, that I honestly was hoping that they would actually make it, just so we would have something different from what had come before. It never happened. Cut to almost 15 years later, and I really wish I could slap that ?Superman Lives? disc into my player, and watch this guaranteed weird, strange, and original new take on the mythology of the Superman character. By this time, whether it was a success or failure at the box office, It would have for sure been a cult classic, due mainly to its inspired casting, and its tremendous bravery in it?s attempt to merge toy sales with the weirdness.
Schnepp is also hoping to raise an additional $50,000 for his "stretch goal" : actually shooting some of the key scenes from the Superman Lives scripts. (Wesley Strick, who wrote Martin Scorsese's remake of Cape Fear, was brought in after Smith.)
Below is Schnepp's pitch video, in which he says that the "weirdness level" of Superman Lives "beats any superhero movie ever made." As Larry David might say, that sounds like a pretty, pretty good argument to make this documentary.

Temple Run 2, a sequel to the vastly popular original, sticks with the same format and proven gameplay but makes notable improvements across the game. If you somehow avoided playing the original game, it's a pretty simple concept to get ahold of. You're running away from some scary beasts down a complex level of twists and turns, and you are trying to collect as many coins and perks as you can along the way. Swipe up to jump, down to slide, across to turn and lean the device left or right to stay out of trouble.
Temple Run 2 has the same set of controls as the original, but the levels are spiced up a bit, breaking free of the original combination of straight runs and 90-degree turns. There are rope zip lines to use, and more sweeping turns and curves to navigate through. All of the extra flare helps keep the game interesting, which is important for something that can usually become quite repetitive. The settings menu has a bit of a visual overhaul as well, with easier to use buttons and a better character selector. The store is still here to buy coins (via in-app purchase,) but the game is still free to play and the purchases aren't completely necessary if you want to keep things cheap.
This game is a worthy successor to the original, building on what seems like a classic platform less than a year after its Android release. I've been playing quite a bit on both a phone and tablet with absolutely no hiccups or issues, even at max graphical settings. The animations, sounds and gameplay are all top-notch and set a standard for what every game should feel like when you play it.
